These Terms of Service and End User License Agreement ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Inception Forge LLC ("Company," "we," "us," or "our"), governing your use of the FileHolster desktop application ("Software"). Please read these Terms carefully before purchasing or using the Software.
By purchasing, downloading, installing, or using FileHolster, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not purchase, install, or use the Software. Your continued use of the Software constitutes ongoing acceptance of these Terms as they may be updated from time to time.
Subject to your compliance with these Terms, Inception Forge LLC grants you a personal, non-exclusive, non-transferable, revocable license to install and use FileHolster on up to two (2) devices that you own or control. This license is for your personal or internal business use only.
You agree that you will not, and will not permit any third party to:
FileHolster is available for a one-time purchase price of $15.00 USD. Payment is processed securely through Stripe. By completing a purchase, you agree to Stripe's terms of service and privacy policy in addition to these Terms.
Upon successful payment, a license key will be delivered to the email address you provide during checkout. You are responsible for providing a valid email address and for safeguarding your license key. Inception Forge LLC is not responsible for license keys lost due to incorrect email addresses or compromised email accounts.
No account creation is required to use FileHolster. The Software operates entirely offline after activation.
The Software, including but not limited to its code, design, graphics, user interface, documentation, and all related intellectual property, is and shall remain the exclusive property of Inception Forge LLC. All rights not expressly granted to you under these Terms are reserved by the Company.
"FileHolster," the FileHolster logo, and "Inception Forge" are trademarks or trade names of Inception Forge LLC. You may not use these marks without our prior written consent.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
INCEPTION FORGE LLC DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ASSUME ALL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SOFTWARE AND FOR ANY LOSS OF DATA OR OTHER HARM THAT MAY RESULT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INCEPTION FORGE LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE.
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF INCEPTION FORGE LLC EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SOFTWARE (I.E., $15.00 USD). THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY UPON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.
This license is effective until terminated. Inception Forge LLC may terminate your license immediately and without notice if you breach any provision of these Terms. Upon termination:
You may terminate this license at any time by uninstalling the Software and discontinuing its use. Sections 5, 6, 7, and 10 shall survive any termination of these Terms.
Your purchase includes lifetime access to updates for the Software at no additional cost. Updates may be provided at Inception Forge LLC's sole discretion and may include bug fixes, new features, performance improvements, or other modifications.
Updated versions of the Software are subject to these Terms unless accompanied by a separate or revised agreement, in which case the new terms will govern your use of the updated version. Inception Forge LLC is under no obligation to provide updates, support, or maintenance for the Software.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
Inception Forge LLC reserves the right to modify these Terms at any time. Updated Terms will be posted on our website at fileholster.com/terms.html with a revised effective date. Your continued use of the Software after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
